Operating within a complex, highly regulated environment, this role supports the Chief Legal Officer & Company Secretary and plays a critical leadership role within the corporate secretariat function. The position works closely with the Board, Board Committees and Executive Leadership Team to ensure effective governance, statutory compliance and high-quality decision-making.

Key Responsibilities
- Act as a trusted governance advisor to the Board, Committees and Executive
- Manage end-to-end Board and Committee processes including agendas, papers, minutes and follow-up actions
- Maintain and enhance governance frameworks, policies, charters and delegations
- Oversee statutory and regulatory compliance obligations
- Support legal entity management across subsidiaries and related entities
- Identify and mitigate governance, legal and reputational risks
- Draft and review governance policies and Board documentation
- Deliver governance training and guidance to Directors and senior stakeholders
- Build strong relationships with internal and external stakeholders, including regulators and advisors
You are a confident and credible governance professional with demonstrated Board-level exposure and the judgement to operate as a true deputy to the Company Secretary.
You will bring:
- Extensive experience in company secretarial or corporate governance roles
- Strong understanding of governance, regulatory and statutory requirements
- Proven capability managing Board and Committee processes
- Excellent written communication and minute-taking skills
- The maturity, discretion and interpersonal skills to influence at senior levels
- Experience within government, government-owned entities, financial services or similarly complex organisations (highly regarded)
